Transformers and Rectifiers Announces 1:1 Bonus Issue Amid Record-High Stock Surge

Transformers and Rectifiers Ltd. delighted investors on Wednesday with the announcement of a 1:1 bonus share issue. Shareholders will receive one additional share for every share held, subject to approval. The record date for this bonus issue is yet to be disclosed.
In an official filing, the company stated, “Issue of Bonus Equity Shares in the proportion of 1:1 i.e., 1 (One) Bonus Equity Share of Re. 1/- (Rupee One) each for every 1 (One) existing Equity Share of Re. 1/- (Rupee One) each fully paid up, held by the shareholders of the Company as on the record date, subject to the approval of shareholders.”
This announcement sent the company’s stock soaring nearly 5% to an all-time high of ₹1,300 per share on the Bombay Stock Exchange (BSE). Over the past month, the stock has gained an impressive 18%.
A Milestone After 11 Years
This marks the company’s first bonus issue since 2013, when it issued one bonus share for every nine shares held. The current 1:1 ratio highlights the company’s robust growth trajectory and investor confidence.
Fundraising and Stellar Q3 Performance
Alongside the bonus announcement, the board approved a proposal to raise ₹750 crore through Qualified Institutional Placement (QIP). The company stated, “Issuance of Equity Shares through Qualified Institutional Placement (QIP) for an amount not exceeding ₹750 Crores, subject to the approval of shareholders.”
Transformers and Rectifiers also posted stellar Q3 FY25 financial results. The net profit surged by 252% year-on-year to ₹55 crore, compared to ₹15.6 crore in the same period last year. Revenue grew 51.5% to ₹559.4 crore, while EBITDA rose to ₹84.8 crore, with margins improving to 15.2% from 9.6%.
These results were bolstered by a ₹7 crore increase in other income. The company’s consistent growth reflects its strong market position and operational efficiency.
